12. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Any disputes shall be subject to the exclusive jurisdiction of the courts in Montreal, Quebec.
